CollabGadget — operated by The CollabGadget Co. LLC

Introduction

Welcome to CollabGadget. These Terms of Service (“Terms”) are a legal agreement between you and The CollabGadget Co. LLC (“CollabGadget”, “we”, “us”, or “our”), a US limited liability company that owns and operates The CollabGadget Store at www.collabgadget.com.

Please read these Terms carefully before using our platform. By creating an account, browsing, purchasing, or participating on CollabGadget in any capacity, you agree to be bound by these Terms. If you do not agree, you must not use our services.

These Terms apply to all users worldwide. Where local consumer protection laws provide you with rights that these Terms cannot override, those rights remain unaffected.

Part 1: General Terms (All Users)

1. Who We Are

CollabGadget is an e-commerce platform owned and operated by The CollabGadget Co. LLC and its subsidiaries (collectively, “The CollabGadget Co.”). Our platform connects customers with products sold either directly by us or, in the future, by approved third-party vendors.

2. Eligibility

To use CollabGadget you must be at least 18 years old. By using our platform, you confirm that:

  • You are 18 years of age or older;
  • You have the legal capacity to enter into a binding contract;
  • You are not barred from using our services under any applicable law;
  • All information you provide to us is accurate and current.

We reserve the right to suspend or terminate any account we have reasonable grounds to believe belongs to someone under the age of 18.

3. Your Account

3.1 Registration

Certain features of CollabGadget require a registered account. When you register, you agree to provide accurate and complete information and to keep it up to date. You are responsible for all activity that takes place under your account.

3.2 Account Security

You are responsible for keeping your password secure. Do not share your login credentials with anyone. If you suspect unauthorised access to your account, notify us immediately at help.desk@support.collabgadget.com.

3.3 Account Ownership

Your account is yours. The CollabGadget Co. LLC does not claim ownership of your account or the personal data associated with it. However, your right to use the platform is conditional on compliance with these Terms. We may suspend, restrict, or close accounts that violate these Terms, show signs of fraud, have been inactive for an extended period, or that we are required to action under applicable law.

We may apply reasonable conditions to account use — such as verification requirements, activity thresholds, or feature restrictions — as part of operating the platform. These conditions do not constitute ownership of your account or your data.

3.4 Closing Your Account

You may close your account at any time by contacting help.desk@support.collabgadget.com. Closing your account does not automatically erase all data we hold — some records must be retained to comply with law. See our Privacy Policy for details.

4. Acceptable Use

You may use CollabGadget to browse, shop, manage orders, and (where applicable) list and sell products. You may not:

  • Use the platform for any unlawful purpose or in a way that violates any applicable law or regulation;
  • Provide false, misleading, or fraudulent information;
  • Attempt to gain unauthorised access to our systems or any other user’s account;
  • Use bots, scrapers, or automated tools to access or extract data from the platform;
  • Upload or transmit content that is defamatory, obscene, harmful, or infringes the intellectual property rights of any third party;
  • Interfere with or disrupt the platform or its infrastructure;
  • Engage in conduct that damages or could damage the reputation of CollabGadget or The CollabGadget Co. LLC.

We reserve the right to remove content, restrict access, or suspend accounts in response to violations of this section.

5. Intellectual Property

All content on CollabGadget — including text, graphics, logos, images, software, and product listings — is owned by The CollabGadget Co. LLC, its subsidiaries, or its licensors, and is protected by US and international intellectual property laws. You may not reproduce, distribute, or create derivative works from any platform content without our prior written consent.

When you submit content to CollabGadget (such as reviews, product images, or listings), you grant The CollabGadget Co. LLC a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that content solely in connection with operating and promoting the platform.

6. Third-Party Links and Services

Our platform may link to or integrate with third-party websites and services. These links are provided for convenience only and do not constitute an endorsement. We are not responsible for the content, accuracy, or privacy practices of any third-party site or service.

7. Disclaimers

CollabGadget and all content, products, and services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we make no warranties of any kind — express or implied — including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free from harmful components.

8. Limitation of Liability

To the maximum extent permitted by applicable law, The CollabGadget Co. LLC and its officers, directors, employees, subsidiaries, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform or any products purchased through it.

Our total aggregate liability to you for any claim will not exceed the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability for fraud, gross negligence, or any other liability that cannot be excluded under applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless The CollabGadget Co. LLC and its affiliates, officers, employees, and agents from and against any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the platform, your breach of these Terms, or your violation of any third-party rights.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the state in which The CollabGadget Co. LLC is registered, without regard to conflict of law provisions. Where local mandatory consumer protection laws apply in your country of residence, those laws are not displaced by this clause.

If a dispute arises, we ask that you contact us first at legal@collabgadget.com to seek an informal resolution. If we cannot resolve the matter informally within 30 days, either party may submit the dispute to binding individual arbitration under applicable US arbitration rules. You waive any right to bring or participate in a class action lawsuit or class-wide arbitration.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify registered users by email or via an in-platform notice. Your continued use of CollabGadget after any update constitutes acceptance of the revised Terms.

12. Termination

We may suspend or terminate your access to CollabGadget at any time, with or without notice, for breach of these Terms or any other reason we deem appropriate. Upon termination, your right to use the platform ends immediately. Sections 5, 7, 8, 9, 10, and 13 survive termination.

13. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force. These Terms, together with our Privacy Policy and any additional policies referenced herein, form the entire agreement between you and The CollabGadget Co. LLC regarding your use of CollabGadget.

Part 2: Customers and Shoppers

14. Placing Orders

When you complete a purchase on CollabGadget, you are making a legally binding offer to buy the selected item(s) at the price shown. Your order is confirmed only when you receive a written order confirmation from us. We reserve the right to decline or cancel any order at our discretion, including where a pricing error has occurred, an item is out of stock, or we suspect fraudulent activity.

If we cancel an order after payment has been taken, a full refund will be issued to your original payment method.

15. Pricing and Payment

Prices are shown in the currency displayed at checkout and may change without notice. We do our best to ensure pricing accuracy, but errors can occur. If we identify a pricing error after you have placed an order, we will contact you with the option to proceed at the correct price or receive a full refund.

We accept the payment methods listed at checkout. By submitting payment, you confirm that you are authorised to use the payment method provided. Payment is processed at the time of order.

16. Taxes and Import Duties

Applicable sales tax will be calculated and displayed at checkout where required by law. For international orders, you are responsible for any import duties, customs fees, or local taxes imposed by your country. CollabGadget is not responsible for delays or costs arising from customs processing.

17. Shipping and Delivery

Estimated delivery times are shown at checkout and are estimates only — they are not guarantees. We are not liable for delays caused by carriers, customs authorities, weather, or other circumstances beyond our control. Risk of loss and title to products transfers to you upon delivery to the carrier.

18. Returns and Refunds

Our Returns and Refunds Policy forms part of these Terms. The key points are:

  • You may request a return within 30 days of delivery for eligible items;
  • Items must be returned unused, in their original condition and packaging;
  • The following are not eligible for return: digital goods, perishable items, personalised items, and products marked as final sale;
  • Refunds are issued to the original payment method after we receive and inspect the returned item.

Part 3: Gift Cards

19. First-Party Gift Cards

Gift cards issued by CollabGadget or any subsidiary of The CollabGadget Co. LLC (“First-Party Gift Cards”) are subject to the following:

  • Valid for purchases on CollabGadget only, unless otherwise stated at time of issue;
  • No cash value — they cannot be exchanged for cash, refunded, or transferred, except where required by law;
  • No expiry date unless one is clearly stated at time of issue;
  • Lost, stolen, or damaged cards cannot be replaced without proof of purchase;
  • We are not responsible for unauthorised use of a gift card code once it has been delivered;
  • Gift cards may not be used to purchase other gift cards.

20. Third-Party Gift Cards

CollabGadget may sell gift cards issued by third-party brands (“Third-Party Gift Cards”). When you purchase a Third-Party Gift Card, you acknowledge that:

  • The CollabGadget Co. LLC is acting as a reseller only — we are not the card issuer;
  • The card is governed by the terms and conditions of the issuing brand, not CollabGadget;
  • We are not responsible for the card’s redemption, balance, or expiry;
  • Disputes about card value or use must be directed to the issuing brand;
  • Refunds are not available once the card code has been delivered to you.

Part 4: Fees and Subscriptions

21. Free to Use

CollabGadget is free for customers and registered shoppers. There are no fees to create an account, browse, or make purchases beyond the listed product price, applicable taxes, and shipping charges.

22. Optional Subscriptions

We may introduce optional paid subscription tiers in the future offering perks such as exclusive pricing, free or discounted shipping, or early access to products. Any subscription will be clearly described and entirely optional. Existing users will never be automatically enrolled in a paid tier without explicit consent.

23. Commercial Partner Fees

Fees for vendors, sellers, suppliers, and other commercial partners are agreed separately in writing and detailed in their respective agreements with The CollabGadget Co. LLC. These may include listing fees, sales commissions, subscription tiers for enhanced visibility, or other arrangements. We reserve the right to update commercial fee structures with reasonable advance notice.

Part 5: Vendors and Sellers

CollabGadget does not currently operate as a multi-vendor marketplace. This section is included so that the framework governing vendors is established and in place when the vendor programme launches. These terms will apply automatically upon vendor registration.

24. Vendor Registration and Approval

Vendors must apply to list products on CollabGadget and receive written approval before going live. Approval is at our sole discretion. Vendors must provide accurate business information at registration and keep it current throughout their time on the platform.

25. Vendor Responsibilities

Approved vendors are solely responsible for:

  • The accuracy, legality, and quality of their product listings and descriptions;
  • Fulfilling orders placed through their listings in a timely and professional manner;
  • Compliance with all applicable laws, including consumer protection, product safety, labelling, and tax obligations;
  • Responding promptly to customer enquiries and resolving disputes fairly;
  • Accurately representing stock levels and availability.

26. Prohibited Vendor Listings

Vendors may not list products that are counterfeit, illegal, unsafe, mislabelled, or that infringe any third-party intellectual property rights. CollabGadget reserves the right to remove any listing at any time, with or without notice, and to hold vendors liable for costs arising from non-compliant listings.

27. Vendor Fees and Payment

Fee structures, commission rates, and payment schedules are set out in the individual Vendor Agreement issued at registration. We will provide reasonable notice of any changes to fee arrangements.

28. Vendor Suspension and Termination

We may suspend or terminate a vendor account for breach of these Terms or the Vendor Agreement, sustained poor performance, unresolved customer complaints, or any conduct we determine is harmful to users or the platform. Vendors remain liable for outstanding orders and customer obligations at the time of termination.

Part 6: Suppliers, Wholesalers, and Manufacturers

This section applies to parties that supply products, materials, or inventory directly to The CollabGadget Co. LLC.

29. Supply Agreements

All supply and wholesale relationships are governed by a separate written Supply Agreement between the relevant party and The CollabGadget Co. LLC. These Terms apply alongside — and do not replace — any such agreement. In the event of conflict, the Supply Agreement prevails.

30. Supplier Obligations

All suppliers, wholesalers, and manufacturers working with CollabGadget agree to:

  • Supply products that conform to agreed quality, safety, and specification standards;
  • Comply with all applicable laws governing manufacture, labelling, import, and export;
  • Provide accurate and complete product data, documentation, and certifications as required;
  • Not misrepresent the origin, composition, or compliance status of any supplied goods;
  • Maintain adequate insurance covering their operations and the goods they supply.

31. Wholesale Pricing

Wholesale pricing is available only to verified business customers and is subject to a separate pricing agreement. CollabGadget reserves the right to request proof of business credentials before extending wholesale terms. Wholesale pricing is not available to general retail customers.

Part 7: Dropshippers

This section applies to parties that fulfil orders on behalf of CollabGadget or an approved vendor through drop-shipping arrangements.

32. Dropshipper Obligations

Dropshippers operating in connection with CollabGadget agree to:

  • Fulfil orders accurately, completely, and within agreed timeframes;
  • Pack and ship goods professionally, without unauthorised third-party branding;
  • Notify CollabGadget or the relevant vendor promptly of any fulfilment issues, out-of-stock situations, or delays;
  • Not contact end customers directly unless expressly authorised to do so;
  • Comply with all applicable shipping regulations, customs requirements, and consumer laws.

33. Dropshipper Liability

Dropshippers are liable for errors in fulfilment, goods damaged due to poor packing, and incorrect shipments. The CollabGadget Co. LLC reserves the right to recover any costs, refunds, or penalties incurred as a direct result of dropshipper errors or non-compliance.
